WINSIDERS CLUB – Terms and Conditions (effective September 25 2025)

The WINsiders Club program is a fee-based membership reward program (the “Program”) offered by WIN Resale Shops  (“WIN”, “us”, “our”, or “we”) to its Canadian resident customers at participating WIN Resale Shops in Victoria (“Participating Stores”).

IMPORTANT INFORMATION FOR U.S. RESIDENTS: This Program is not open to U.S. residents.

1. AGREEMENT TO THE TERMS AND CONDITIONS

These Terms and Conditions form a binding agreement between you and WIN. You agree to the most updated version of the Terms and Conditions each time you access the Program, including upon any renewal of your WINsiders Club membership (as defined below). You also agree to WIN’s Privacy Policy, which is incorporated into and forms part of these Terms and Conditions.

IF YOU DO NOT AGREE TO THESE TERMS AND CONDITIONS, IMMEDIATELY STOP USING THE PROGRAM.

2. MEMBERSHIP ELIGIBILITY

The Program is open to legal residents of Canada, with a valid Canadian address, who have reached the age of majority in their province or territory of residence. WIN reserves the right to request proof of age at any time.

A WINsiders Club program membership is only available to individuals and is not available to legal entities such as corporations, businesses, charities, partnerships, enterprises, schools or anyone other than an individual, unless advance written approval is provided by WIN, in its sole discretion.

Only one (1) Program account (“WINsiders Club account”) is permitted per individual, and only one (1) WINsiders Club program account is permitted per individual at any one time, meaning that an individual can only have one (1) of the following: a WIN Rewards program account, or a WINsiders Club program account.

IF YOU ARE CURRENTLY A MEMBER OF WIN’s REWARDS PROGRAM, YOUR MEMBERSHIP IN THAT LOYALTY PROGRAM WILL BE SUSPENDED UPON ACCEPTANCE INTO THE WINSIDERS CLUB PROGRAM, UNTIL TERMINATION, CANCELLATION, LAPSE OR EXPIRY OF YOUR WINSIDERS CLUB PROGRAM MEMBERSHIP AT WHICH TIME YOUR WIN REWARDS MEMBERSHIP SHALL BE RE-INSTATED.  Any WIN rewards program points that a WINSIDERS CLUB PROGRAM Member had previously accumulated in an existing WIN REWARDS account will be transferred over to the WINSDERS CLUB PROGRAM Member’s Account.

WIN reserves the right to refuse issuance of a WINSIDERS CLUB PROGRAM Account to any person who does not meet the eligibility requirements or does not follow the prescribed application procedures set out below.

3. APPLICATION ADMINISTRATION AND PROGRAM TERM

In order to apply for the Program, an individual that satisfies the eligibility requirements can sign up in-store or at womeninneed.ca (when available). An individual applies by providing their first name, last name, and valid email address, telephone number and assuming acceptance into the Program, paying the Membership Fee set out below (each such individual, a “WINSIDERS CLUB PROGRAM Member”). During the application process, you may also be asked to provide optional information, such as preferred month and day of birth.

The payment of the applicable Membership Fee, and the acceptance of your application by WIN will entitle each WINSIDERS CLUB PROGRAM MEMBER to a twelve (12) consecutive month (a “Term”) membership (a “WINSIDERS CLUB PROGRAM Membership”). At the end of the Term, WINSIDERS CLUB PROGRAM Members may elect to continue their WINSIDERS CLUB PROGRAM Membership for an additional Term at the then-current Membership Fee. If a WINSIDERS CLUB PROGRAM Member elects not to continue their WINSIDERS CLUB PROGRAM Membership, their WINSIDERS CLUB PROGRAM Account shall be automatically converted to the WIN Rewards Program (subject to compliance with the terms and conditions of that program). Upon such conversion, any WINSIDERS CLUB PROGRAM points balance will be transferred into such alternative WIN REWARDS program.

You will be provided with a WINSIDERS CLUB PROGRAM number (“WINSIDERS CLUB PROGRAM Member Number”), a corresponding WINSIDERS CLUB PROGRAM Account, and a physical card and/or virtual card (the “WINSIDERS CLUB PROGRAM Card”) linked to your WINSIDERS CLUB PROGRAM Member Number and WINSIDERS CLUB PROGRAM Account.

WINSIDERS CLUB PROGRAM Membership benefits apply only to the individual WINSIDERS CLUB PROGRAM Account holder. WINSIDERS CLUB PROGRAM Members cannot share their WINSIDERS CLUB PROGRAM Member Number, WINSIDERS CLUB PROGRAM CARD and/or WINSIDERS CLUB PROGRAM Account information with anyone else. WINSIDERS CLUB PROGRAM Member Numbers are non-transferable. WINSIDERS CLUB PROGRAM Account information should be protected and kept secure, including but not limited to, any WINSIDERS CLUB PROGRAM Account password.

At any time, throughout the Term, including when making an Eligible Purchase (as defined below) or when redeeming WINSIDERS CLUB PROGRAM (as defined below), WINSIDERS CLUB PROGRAM Members must present their WINSIDERS CLUB PROGRAM Card, and may be asked to show a government issued photo for identification.

A WINSIDERS CLUB PROGRAM Member must notify WIN immediately if your WINSIDERS CLUB PROGRAM Card is lost or stolen. Notify a Participating Store employee at checkout or contact our Customer Service Centre to ensure a replacement card and replacement WINSIDERS CLUB PROGRAM Account is properly issued to the correct WINSIDERS CLUB PROGRAM Member, and that all WINSIDERS CLUB PROGRAM POINTS in your WINSIDERS CLUB PROGRAM Account are accessible only by you. The replacement WINSIDERS CLUB PROGRAM Account shall be attached to your previous WINSIDERS CLUB PROGRAM Account history. Upon verification of proper identification, a new WINSIDERS CLUB PROGRAM Account and WINSIDERS CLUB PROGRAM Card will be provided to the WINSIDERS CLUB PROGRAM Member. The accumulated unredeemed WINSIDERS CLUB PROGRAM balance shall remain intact.

WIN assumes no liability or responsibility for WINSIDERS CLUB PROGRAM redeemed by any person(s) prior to your notifying our Customer Service Centre that the WINSIDERS CLUB PROGRAM Card is lost or stolen. Any WINSIDERS CLUB PROGRAM redeemed prior to notification shall be at the WINSIDERS CLUB PROGRAM Member’s risk.

You must promptly advise us of any changes to personal information including name, address, phone number and email address, either by asking a Participating Store employee to update the information in-store, by visiting womeninneed.ca or by contacting our Customer Service Centre. WIN will not be liable for misdirected email or mail communications, including any notices under these Terms and Conditions or any consequences where your personal information is inaccurate or no longer valid. If we believe that some of our records are inaccurate, we may contact you to verify our records. WINSIDERS CLUB PROGRAM are not divisible or transferrable in the case of divorce. WINSIDERS CLUB PROGRAM cannot be assigned, transferred, exchanged, sold, traded, bartered, purchased or given by gift or otherwise sold. Upon the death of a WINSIDERS CLUB PROGRAM Member, the WINSIDERS CLUB PROGRAM Member’s WINSIDERS CLUB PROGRAM Account will be closed and any WINSIDERS CLUB PROGRAM in the account will be forfeited.

WINSIDERS CLUB PROGRAM have no merchantable or cash value. The accumulation of WINSIDERS CLUB PROGRAM does not entitle a WINSIDERS CLUB PROGRAM Member to any vested rights, and neither WIN nor the Program Partners (defined below) guarantees in any way the continued availability of any reward, redemption level, rebate or any other benefit. WIN assumes no liability to WINSIDERS CLUB PROGRAM Members as regards the addition or deletion of Program Partners (defined below).

4. MEMBERSHIP FEES

The membership fee will be the amount prescribed by WIN at the time the application is processed or at the time of any renewal (the “Membership Fee”). We may change the Membership Fee from time to time, however, any such changes will only apply to new applicants following the change or to WINSIDERS CLUB PROGRAM Members at their next renewal. Unless otherwise indicated, the Membership Fee is in Canadian Dollars and does not include taxes. Taxes may vary depending on your province or territory of residence.

WINSIDERS CLUB PROGRAM POINTS cannot be redeemed to pay for the Membership Fee.

Membership Fees are non-refundable.

5. PROGRAM BENEFITS

WIN may designate, from time to time, partners from whom WINSIDERS CLUB PROGRAM Members will be able to redeem WINSIDERS CLUB PROGRAM or receive other Program benefits (the “Program Partners”).

The Program allows WINSIDERS CLUB PROGRAM Members to:

• Collect WINSIDERS CLUB PROGRAM POINTS as outlined in the terms and conditions of the WIN REWARDS Program when making purchases in-store and to redeem these WINSIDERS CLUB PROGRAM POINTS for rewards, benefits and/or rebates offered by WIN from time to time. Eligible Purchases are subject to certain exclusions from time to time. See Section 6 below for further details.

• Receive an additional 5% discount on discount days that the WINsider Club member is eligible for as detailed in store (Thank you Tuesday, Wisdom Wednesday, Studious Saturday and for Indigenous Community Members on Sundays) over above the posted discount on the final pre-tax price, net of discounts, on Eligible Purchases made in-store. WINSIDERS CLUB PROGRAM Discount is subject to certain exclusions from time to time. See Section 6 below for further details.

• Receive 50% off purchases made on your birthday.  Valid ID will be required to be shown to receive the discount.

• A promotional $5 coupon for purchases is provided when first joining the WINSIDERS CLUB PROGRAM

A Member must present their phone number at the point of sale and prior to the beginning of the transaction, and the cashier may also require to see a valid WINSIDERS CLUB PROGRAM Card at time of purchase to: (a) collect WINSIDERS CLUB PROGRAM, (b) receive the WINSIDERS CLUB PROGRAM Discount s, and (c) receive other benefits, including invitations to WINSIDERS CLUB PROGRAM shopping events, or WINSIDERS CLUB PROGRAM specified discounts.

From time to time, WIN may advertise or make exclusive offers to select WINSIDERS CLUB PROGRAM Members to receive other benefits or discounts or invitations to WINSIDERS CLUB PROGRAM shopping events.

6. PROGRAM EXCLUSIONS

Certain products and services may be excluded from the WINSIDERS CLUB PROGRAM Discount. See each offer for details in store (e.g. everyday discounts, promotions, seasonal sales, etc.). Unless explicitly stated, the WINSIDERS CLUB PROGRAM Discount does not apply in conjunction with any coupons, offers or discounts or with any corporate or prearranged group discounts such as employee, educator, corporate, institutional, and volume discounts.

7. COLLECTING WINSIDERS CLUB PROGRAM POINTS

a) There are several ways to earn WINSIDERS CLUB PROGRAM POINTS:

In-Store at Checkout : The WINSIDERS CLUB PROGRAM Member must present their phone number at the point of sale and prior to the beginning of the transaction when making a purchase at a WIN Resale Shop and when requested, the WINSIDERS CLUB PROGRAM Card must be presented to the cashier before an Eligible Purchase (as defined under Section 5 above) transaction is completed.

b) WINSIDERS CLUB PROGRAM POINTS will be awarded at the rate of 2 WIN REWARD POINTS for each pre-tax dollar spent on Eligible Purchases. WIN REWARD POINTS will be calculated by reference to the net total on each receipt, which is calculated as Eligible Purchase price less taxes and any discounts. The total WIN REWARDS POINTS awarded and reflected on the receipt will be rounded up or down to the nearest whole point, based on the closest 10 cents spent.

c) Except as described below, all WINSIDERS CLUB PROGRAM POINTS awarded for an Eligible Purchase as well as the WINSIDERS CLUB PROGRAM Member’s current WIN REWARDS POINTS balance are shown on the receipt for each Eligible Purchase when a WINSIDERS CLUB PROGRAM Card is used. In the event that WINSIDERS CLUB PROGRAM do not appear on a receipt due to a technical failure, they will be reflected on a receipt at a later Eligible Purchase transaction date.

e) Occasionally, through specified promotions by Participating Stores and/or Program Partners, additional WIN REWARD POINTS (and/or other rewards, promotions or benefits) may be awarded for using the WINSIDERS CLUB PROGRAM Card, or for being a WINSIDERS CLUB PROGRAM Member. These WIN REWARD POINTS may not always be recorded on the receipt at the time of an Eligible Purchase, in which event, the balance will be reflected on a receipt at a later Eligible Purchase transaction date.

f) WIN’s standard return and exchange applies to each Eligible Purchase made by WINSIDERS CLUB PROGRAM Members. In the event of a return or exchange of any Eligible Purchase, any WINSIDERS CLUB PROGRAM awarded will be automatically adjusted, if applicable, from the WINSIDERS CLUB PROGRAM Account that was used for the Eligible Purchase (whether or not the WINSIDERS CLUB PROGRAM Card is presented at the time of return and/or exchange). Upon the return or exchange of WIN products awarded through the redemption of WINSIDERS CLUB PROGRAM POINTS, all redeemed WINSIDERS CLUB PROGRAM will revert to the WINSIDERS CLUB PROGRAM Member’s WINSIDERS CLUB PROGRAM Account.

g) WINSIDERS CLUB PROGRAM may be awarded retroactively at WIN’s sole discretion if the original receipt and your WINSIDERS CLUB PROGRAM Card is produced in-store within 14 days of the date of the original Eligible Purchase. In the case of a discrepancy regarding a WINSIDERS CLUB PROGRAM Member’s WIN REWARD POINTS balance, our internal database and records will govern. Discrepancies must be addressed with our Customer Service Centre within three (3) months of the date on which the discrepancy occurred.

h) WIN REWARD POINTS will not be awarded on the portion of the Redemption Transaction (as defined below) paid for by redemption of WIN REWARD POINTS.

8. REDEEMING WIN REWARD POINTS

REDEMPTION

a) WIN REWARD POINTS may be redeemed for rewards consisting of a predetermined dollar discount reward off a purchase in-store in accordance with the WIN REWARDS POINTS redemption schedule in force on the date when the WIN REWARDS POINTS are redeemed by the WINSIDERS CLUB PROGRAM Member (“Redemption Transaction”).

b) 2,000 WIN REWARD POINTS is the maximum number of WIN REWARD POINTS that may be redeemed in any single Redemption Transaction.

c) From time to time, special promotions may be run during which one or more redemption level(s) may temporarily be altered and/or suspended, new redemption levels added, or points may be redeemed directly towards the purchase of specific products or services. Promotions may vary from store to store.

d) A WINSIDERS CLUB PROGRAM Member’s WIN REWARD POINTS balance will be reduced by the number of points required to obtain the desired point redemption level. Unredeemed WIN REWARD POINTS plus any WIN REWARD POINTS awarded in the current Redemption Transaction will remain in the WINSIDERS CLUB PROGRAM Member’s Account and can be applied to a subsequent Redemption Transaction.

In-store at Checkout: In accordance with Federal and Provincial tax legislation, GST, PST, HST and any other applicable taxes are calculated and payable by the WINSIDERS CLUB PROGRAM Member on the full amount of the purchase price of the item during a Redemption Transaction.

f)WIN REWARD POINTS can only be redeemed if the required redemption level is acquired prior to the Redemption Transaction. A Member may not make more than two (2) redemptions, at any reward level, within one day. Only one redemption is available per Redemption Transaction.

g) When redeeming WIN REWARD POINTS, WIN will automatically select the maximum eligible WIN REWARD POINTS redemption level available. Alternatively, if at Checkout, you may select a different eligible redemption level by informing the cashier prior to the Redemption Transaction. In either case, your WINSIDERS CLUB PROGRAM Account must have the appropriate number of WIN REWARD POINTS.

Example: If you have accumulated 3,000 WIN REWARD POINTS, the maximum redemption level available is 2,000 WIN REWARD POINTS. However, if at Checkout, you may elect to redeem only 1,000 points on a $10.00 transaction; in this case the reduction off the purchase price will be $10.00.



If the purchase price is lower than the redemption value of the points, the remaining dollar value equivalent of the redeemed points will be forfeited.

9. PRIVACY

We respect the privacy of your personal information. Please review our Privacy Policy for how we collect, use, disclose and manage your personal information.

10. EXPIRY/SUSPENSION/TERMINATION OF A MEMBERSHIP

The WINSIDERS CLUB PROGRAM Card is not a credit card and is the property of WIN. It may be revoked at any time by WIN in the event of a breach of these Terms and Conditions by a WINSIDERS CLUB PROGRAM Member, misuse or abuse of the Program by a WINSIDERS CLUB PROGRAM Member, fraud, and/or any other actions deemed by WIN, at WIN’s sole discretion, to be contrary to the Program or the interests of its WINSIDERS CLUB PROGRAM Members. In the event that your participation in the Program is cancelled, all accumulated WINSIDERS CLUB PROGRAM in your WINSIDERS CLUB PROGRAM Account may be forfeited and removed.

Any unauthorized reproduction of the WINSIDERS CLUB PROGRAM Card may lead to legal prosecution and forfeiture of all WIN REWARD POINTS, as well as termination of the applicable WINSIDERS CLUB PROGRAM Membership.

WIN reserves the right to restrict redemption or put a “hold” on WIN REWARD POINTS for up to ninety (90) days from the date the WIN REWARD POINTS are posted to a WINSIDERS CLUB PROGRAM Account if WIN has reasonable belief that fraud has occurred or in the event of a breach or suspected breach of these Terms and Conditions.

If a WINSIDERS CLUB PROGRAM Member chooses not to renew their WINSIDERS CLUB PROGRAM Membership, upon expiry of the WINSIDERS CLUB PROGRAM Membership, a WINSIDERS CLUB PROGRAM Member shall automatically become a member of the WIN Rewards Program (subject to compliance with the terms and conditions of that program), and any WINSIDERS CLUB PROGRAM balance will be transferred into such alternative WIN loyalty program. In such a case, your WINSIDERS CLUB PROGRAM Member Number shall be transferred to the alternative WIN loyalty program.

11. PROGRAM CHANGES

WIN may restrict, suspend, or modify the Program, at its sole discretion. Any material changes to these terms and conditions will be posted online at womeninneed.ca and may also be emailed directly to WINSIDERS CLUB PROGRAM Members and/or made available at the Participating Stores. Material changes include changes to the Program benefits. Material amendments or changes shall take effect at the beginning of the next Term.

If you do not exercise your right to rescind or cancel your participation in the Program by sending WIN notice no later than thirty (30) days after the amendment comes into force, your continued participation in the Program at any time after such thirty (30) day delay has expired, will constitute your consent to be bound by the amendment.

12. TERMINATION OF THE WINSIDERS CLUB PROGRAM

We reserve the right to terminate the Program, or any part of it, and will provide thirty (30) days prior written notice to be provided at Participating Stores, on our website at womeninneed.ca or through other communications to WINSIDERS CLUB PROGRAM Members, including email. Upon termination of the Program, WINSIDERS CLUB PROGRAM Members shall become a member of the WIN Rewards Program (subject to compliance with the terms and conditions of that program), and have the remaining WINSIDERS CLUB PROGRAM balance transferred into such alternative WIN loyalty program.

13. DISCLAIMER OF REPRESENTATION, WARRANTIES AND CONDITIONS

YOUR USE OF THE PROGRAM IS AT YOUR OWN RISK. THE PROGRAM AND ALL INFORMATION, CONTENT, MATERIALS INCLUDED ON OR OTHERWISE MADE AVAILABLE TO YOU THROUGH THE PROGRAM ARE PROVIDED BY WIN ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT ANY REPRESENTATIONS, WARRANTIES OR CONDITIONS OF ANY KIND (OTHER THAN THESE TERMS AND CONDITIONS), WHETHER EXPRESS OR IMPLIED OR ARISING BY STATUTE, USAGE, TRADE, CUSTOM OR OTHERWISE. WITHOUT LIMITING THE GENERALITY OF THE PRECEDING SENTENCE, WIN EXPRESSLY DISCLAIMS ANY REPRESENTATIONS, WARRANTIES OR CONDITIONS OF OR RELATING TO ACCURACY, COMPLETENESS, ACCESSIBILITY, TITLE, MERCHANTABLE QUALITY, DURABILITY, PERFORMANCE AND FITNESS FOR A PARTICULAR PURPOSE.

14. LIMITATION OF LIABILITY

WIN WILL NOT BE LIABLE TO YOU OR ANY OTHER PERSON FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE OR EXEMPLARY LOSS OR DAMAGE ARISING FROM, CONNECTED WITH, OR RELATING TO THE PROGRAM OR THE USE OF THE PROGRAM, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, USE, REPUTATION OR GOODWILL UNDER ANY THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, STRICT LIABILITY OR ANY OTHER THEORY OF LAW OR EQUITY), REGARDLESS OF ANY NEGLIGENCE OR OTHER FAULT OR WRONGDOING (INCLUDING WITHOUT LIMITATION GROSS NEGLIGENCE AND FUNDAMENTAL BREACH) BY WIN OR ANY PERSON FOR WHOM WIN IS RESPONSIBLE, AND EVEN IF WIN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGE BEING INCURRED. WINSIDERS CLUB PROGRAM MEMBERS ARE ENTIRELY RESPONSIBLE FOR KEEPING THEIR WINSIDERS CLUB PROGRAM ACCOUNT SECURE.

THE LAWS OF CERTAIN JURISDICTIONS, INCLUDING QUEBEC'S CONSUMER PROTECTION ACT, DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR CONDITIONS OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES. IF THESE LAWS APPLY TO YOU, SOME OR ALL OF THIS SECTION MIGHT NOT APPLY TO YOU, AND YOU MIGHT HAVE ADDITIONAL RIGHTS.

15. ARBITRATION, CLASS ACTION WAIVERS, NO JURY TRIAL

You agree that the sole and exclusive forum and remedy for any and all disputes and claims that cannot be resolved informally and that relate in any way to or arise out of the Program, shall be final and binding arbitration, except to the extent that you have in any manner infringed upon or violated or threatened to infringe upon or violate any intellectual property right of WIN, its affiliates or any third party, or any privacy or publicity rights, in which case you acknowledge that arbitration is not an adequate remedy at law and that injunctive or other appropriate relief may be sought by WIN, its affiliates or applicable third parties.

You agree that you will bring any claim against us in your individual capacity and not as part of a class arbitration, class proceeding or representative action.

If for any reason a claim or proceeding in a court is permitted, you waive any right to a jury trial.

16. GOVERNING LAW

These Terms and Conditions and all related matters are governed solely by the laws of the Province of British Coumbia, Canada and the applicable federal laws of Canada, without regard to conflict of laws principles. The United Nations Convention on Contracts for the International Sale of Goods shall not apply. Subject to Section 14, any dispute between you and WIN arising out of or relating these Terms and Conditions shall be resolved before the Courts of British Columbia, sitting in the City of Victoria

17. GENERAL

Our failure to exercise any of our rights, powers or remedies in these Terms and Conditions or at law, or any delay in doing so, does not constitute a waiver of those rights, powers or remedies. The single or partial exercise of a right, power or remedy does not prevent its subsequent exercise or the exercise of any right, power or remedy. Words in the singular form shall be construed to include the plural and vice versa, unless the context otherwise requires, and the word “including” means “including but not limited to”.

Each of the provisions contained in these Terms and Conditions is distinct and severable and a declaration in on validity or unenforceability of any such provisions or part thereof by a court of competent jurisdiction, will not affect the validity or enforceability of any such other provisions of these Terms and Conditions.
